Independent Consultant Referral Agreement

This agreement is between Cool Geek Media, LLC(DBA BizGrowth AI, “the Company”) and the independent consultant identified below (“Consultant”). By signing, Consultant agrees to the following terms.

1. Relationship

Consultant is an independent contractor, not an employee. Consultant is responsible for their own taxes, insurance, and business expenses. No exclusivity — Consultant may work with other clients and companies.

2. Consultant's Role

Consultant introduces prospective clients to BizGrowth AI and may provide strategic consulting services to those clients based on their own expertise. BizGrowth AI handles all technical delivery: AI agent deployment, workflow builds, managed services, and ongoing maintenance.

3. Commission Structure

Consultant earns commissions on revenue received from clients they introduce. All payments are made by Cool Geek Media, LLC (DBA BizGrowth AI).

Plus: consultants also earn referral commissions on clients they introduce but don't personally manage — 10% of the monthly CoS fee (first 12 months), 15% on consulting projects, and 25% on strategy sessions.

4. Payment Terms

Commissions are calculated on amounts actually received from the client (net of refunds and chargebacks). Payments are made on the 1st of each month for the previous month's collected revenue. Consultant must submit a W-9 before the first payment. For US consultants, Cool Geek Media, LLC will issue a Form 1099-NEC for annual earnings of $600 or more.

5. Client Ownership

All client relationships introduced by Consultant belong to BizGrowth AI / Cool Geek Media, LLC. Consultant may not solicit or service these clients outside of the BizGrowth AI platform for the duration of this agreement and for 12 months following termination.

6. Confidentiality

Consultant agrees to keep confidential all business information, client data, pricing, and trade practices learned through this relationship. This obligation survives termination of the agreement.

7. Term & Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, Consultant receives commissions on all client payments received through the effective termination date. Commissions on existing managed CoS clients continue for 90 days post-termination as a wind-down period.

8. Governing Law

This agreement is governed by the laws of the State of Arizona. Any disputes shall be resolved in Maricopa County, Arizona.
